About the Business Angel Programme Scheme
The British Chamber in Hong Kong (“BritCham”) is facilitating a programme of meetings (“Meetings”) to provide a platform for the owners and inventors of new technologies and business ventures to
- showcase their ideas and business models
- make contact with (and obtain advice from) professional advisers (e.g. ta/finance; legal; business consulting, etc)
- reach out to potential investors.
The Purpose of this Document
All those participating in these meetings (“Participant”) are required to sign a copy of this Participation Agreement and be bound by the terms set out below as a pre-requisite to their attendance at Meetings, in order to
- protect the confidentialily in the ideas and business models being showcased
- exclude the liability of professionals offering any comment within the Meetings, and
- reach out to potential investors.
Terms
I agree, in considiration of the other Participants agreeing to my entry to Meetings, to abide by the following:
- I shall hold in strict confidence all ideas, business models, information, know-how, documents or other materials which I receive or may be exposed to during a Meeting (“Materrials”), and make no use of materials outside a Meeting without the written consent of the Participant who generate the relevant Materials.
- I understand that any information provided by any participant during a Meeting is not professional advice capable of being relied upon as such. any such information should be verified and confirmed outside the Meeting.
- I accpet that BritCham is a facilitator of the Meetings only and accepts no liability for any statement made during or investment decision taken by reason of any Meeting.
- I agree that to the extent I may be involved in any investment connected with a Participant, all investment decisions and negotiations are to (or are deemed to) take place outside of the Meeting.
Participants who are seeking investment by reason of their attendance and presentation at Meetings further undertake to inform BritCham in the event they raise funding (either directly from an investor attending a Meeting or via an introduction that originated through presenting at a Meeting). Such successful Participants also agree to provide a brief testimonial to be displayed on BritCham’s website, or for other media purposes. Such Testimonial will not identify the related investor in the absence of written confirmation from that investor.
This Participation Agreement is governed by the laws of Hong Kong and I submit to the exclusive jurisdiction of the Hong Kong Courts to adjudicate upon any disputes arising herefrom.
